These general terms and conditions apply to all services, quotations, and agreements of Meute, established and having its registered office in Amsterdam.

These general terms and conditions apply to all services, quotations, and agreements of Meute.

1. General

  1. These general terms and conditions apply to all offers, quotations, activities, and agreements under which Meute provides services.
  2. “Client” means any natural person or legal entity that enters into (or intends to enter into) an agreement with Meute.
  3. Any general terms and conditions of the client do not apply unless expressly accepted in writing by Meute.
  4. By entering into an agreement with Meute, the client also agrees to the applicability of these terms to future assignments.

2. Quotations and Formation of Agreement

  1. All quotations issued by Meute are non-binding unless explicitly stated otherwise.
  2. An agreement is concluded once Meute confirms an assignment in writing.
  3. Meute is not obliged to accept an assignment. In case of refusal, this will be communicated as soon as possible.
  4. Verbal agreements are only binding after written confirmation.

3. Execution of Work

  1. Meute performs assignments to the best of its knowledge, ability, and professional standards.
  2. Meute has an obligation of effort, not an obligation of result.
  3. Work included in the assignment is limited to what has been agreed in writing. Additional work, changes, or extra revision rounds are considered additional work and will be invoiced separately.
  4. Specified timelines are indicative and not strict deadlines.
  5. If the client prepays for an assignment, retainer, budget allocation, or other credit, this credit is valid for a maximum period of twelve (12) months from the invoice date, unless agreed otherwise in writing. After this period, any remaining credit will automatically expire. Prepaid amounts are non-refundable. Extension of validity is only possible after prior written agreement and at Meute’s discretion.

4. Client Obligations

  1. The client shall provide all necessary information in a timely manner for proper execution of the assignment.
  2. The client guarantees the accuracy and completeness of the information provided.
  3. Failure to provide required input, or incomplete input, may affect planning and delivery.
  4. If required information is not provided, provided late, incomplete, or proves incorrect, and this results in additional work, Meute is entitled to charge such work as additional work at its standard rates.
  5. If specific invoicing details are required (such as references, purchase order numbers, or cost centers), the client must provide these at the start of the assignment.
  6. If the client fails to provide correct invoicing details in time, Meute is entitled to invoice based on the information available.
  7. The absence or late submission of invoicing details does not suspend the client’s payment obligation nor extend the payment term. Corrections to invoice details do not entitle the client to payment delay.
  8. 5. Rates, Production Costs, and Payment
  9. All rates are exclusive of VAT and any other government-imposed levies.
  10. Production costs, including but not limited to location rental, materials, and external parties, are always invoiced in advance and must be fully paid before production starts. Meute does not advance production costs.
  11. Meute charges a markup on production costs to cover organization, coordination, and responsibility.
  12. Meute is entitled to adjust its rates once per calendar year. Changes will be communicated in advance and do not apply to already confirmed assignments.
  13. Invoices must be paid within 30 days of the invoice date.
  14. If the payment term is exceeded, the client is automatically in default and statutory (commercial) interest is due from the invoice due date.
  15. Meute is entitled to suspend its work until full payment has been received.
  16. All extrajudicial and judicial collection costs are borne by the client, with a minimum of €250.

6. Duration and Termination

  1. Both parties may terminate the agreement in writing in case of bankruptcy, suspension of payments, or permanent force majeure.
  2. In case of cancellation or modification by the client, all work already performed and incurred (production) costs remain fully payable.
  3. Meute is entitled to terminate the agreement prematurely for compelling reasons without being liable for damages.
  4. Work already performed remains invoicable at all times.

7. Liability

  1. Meute is only liable for direct damage resulting from intent or gross negligence.
  2. Liability is limited to the amount invoiced for the relevant assignment.
  3. Meute is not liable for indirect damage, consequential damage, or loss of profit.
  4. Complaints must be submitted in writing within 10 days after discovery.

8. Intellectual Property and Third Parties

  1. All intellectual property rights to works developed under the agreement remain with Meute unless agreed otherwise in writing.
  2. The client receives a non-exclusive, non-transferable right of use for the agreed purpose.
  3. Transfer of rights to third parties is only permitted with prior written consent from Meute.
  4. Third parties engaged by Meute (such as freelancers, suppliers, and producers) may not be approached directly by the client for follow-up assignments related to Meute’s work without prior written consent from Meute.

9. Confidentiality

  1. Both parties are obliged to keep confidential any information exchanged within the framework of the agreement, insofar as such information is explicitly designated as confidential by the disclosing party, for example by stating it is confidential or through a separate non-disclosure agreement (NDA).
  2. Information not explicitly marked as confidential is not considered confidential.
  3. The confidentiality obligation does not apply to information that is already public or becomes public lawfully without breach of this agreement.
  4. The confidentiality obligation remains in force after termination of the agreement.

10. Portfolio and Communication

  1. The client grants Meute permission to use and share campaigns and related content developed under the agreement via its own communication channels, including websites, social media, and presentations.
  2. This use is permitted once such content has been made public by or on behalf of the client, unless agreed otherwise in writing.
  3. This also includes use from the moment campaigns or content are deployed or distributed to reach one or more target audiences, regardless of whether the communication is publicly accessible, including but not limited to websites, social media (organic and paid), advertisements, mailings, presentations, and other communication expressions, unless agreed otherwise in writing.

11. Force Majeure

  1. Force majeure means any circumstance beyond Meute’s reasonable control that prevents (timely) fulfillment of its obligations.
  2. This includes, but is not limited to: illness or unavailability of staff or external parties engaged by Meute, failures in (digital) infrastructure, supplier delays, government measures, pandemics, strikes, and other unforeseen circumstances.
  3. In case of force majeure, Meute’s obligations are suspended for the duration of the situation.
  4. If performance becomes permanently impossible or the situation lasts longer than eight weeks, both parties are entitled to terminate the agreement in writing.
  5. Work already performed and incurred (production) costs remain payable in full.

12. Governing Law and Disputes

  1. All legal relationships between Meute and the client are governed by Dutch law.
  2. Parties will first attempt to resolve disputes amicably before submitting them to a competent court.
  3. If no resolution is reached, the dispute will be submitted to the competent court in Amsterdam.

13. Privacy and Data

  1. To the extent that Meute processes personal data in the context of the agreement, this will be done in accordance with applicable privacy laws.
  2. Meute’s privacy policy forms an integral part of these terms and conditions.
